Terms of Service

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and DeepEra Labs LLC (“we,” “us,” or “our”), concerning your access to and use of the deeperalabs.comwebsite as well as any other media form, mobile application, or API related, linked, or otherwise connected thereto (collectively, the “Site” and “Services”).

By accessing the Site, you confirm that you are at least 13 years of age, that you have read and understood these Terms, and that you agree to be bound by them. If you do not agree, please discontinue use of the Site immediately.

Unless otherwise indicated, the Site and our mobile applications are our proprietary property. All source code, databases, functionality, software, AI pipelines, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us and are protected by copyright and trademark laws and various other intellectual property rights.

The Content and Marks are provided on the Site “AS IS” for your information and personal use only. Except as expressly provided in these Terms, no part of the Site, and no Content or Marks, may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

By using the Site and our Services, you represent and warrant that:

• You have the legal capacity and you agree to comply with these Terms of Service.
• You are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Site.
• You will not access the Site through automated or non-human means, whether through a bot, script, or otherwise, without our express written permission.
• You will not use the Site for any illegal or unauthorized purpose.
• Your use of the Site will not violate any applicable law or regulation.

Our Services may allow you to create, upload, or process content (such as sketches, photographs, or images) using our AI and AR tools, including DrawMate’s augmented reality drawing system and MovieMate AI’s recommendation engine. By inputting data into our applications, you:

• Grant us a limited, non-exclusive license to process this data through our cloud infrastructure and third-party AI APIs solely for the purpose of providing the service to you.
• Represent that you own or have the necessary rights, licenses, consents, and permissions to use and authorize us to use any content you upload or submit.
• Acknowledge that visual data processed by AR features (such as camera feeds) is handled on-device or transiently and is not stored on our servers beyond what is required to complete the immediate processing request.

You may not access or use the Site or Services for any purpose other than that for which we make them available. Prohibited activities include, but are not limited to:

• Systematically retrieving data or other content from the Site to create or compile a collection, database, or directory without written permission from us.
• Making any unauthorized use of the Services, including collecting user data without their consent.
• Using the Services to advertise or offer to sell goods and services.
• Attempting to bypass, circumvent, or defeat any security feature of the Site or our AI systems.
• Uploading content that is illegal, harmful, or offensive.

The Site and our mobile applications may contain links to or integrations with third-party websites, APIs, and services. These third-party services have their own privacy policies and terms of service. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services.

THE SITE AND SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We make no warranties or representations about the accuracy or completeness of the Site’s content or the content of any websites linked to the Site. AI-generated outputs (such as image suggestions or film recommendations) are provided for convenience and may not always be accurate.

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE OR OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These Terms of Service and your use of the Site are governed by and construed in accordance with the laws of the State of Wyoming, applicable to agreements made and to be entirely performed within the State of Wyoming, without regard to its conflict of law principles. Any legal action or proceeding relating to your access to, or use of, the Site shall be instituted in a state or federal court located in Sheridan County, Wyoming.

We reserve the right to make changes to these Terms of Service at any time and for any reason. We will alert you about any changes by updating the “Effective Date” of these Terms. Your continued use of the Site after the date of the revised Terms constitutes your acceptance of the changes.
